The Hilscher netHOST for fieldbus or Realtime Ethernet protocols is a fully-fledged and autonomously working fieldbus master, which enables industrial PCs and embedded systems to control fieldbus networks via a normal LAN connection.

General Conditions for Hilscher Device and Software Workshops
Hilscher has special know-how relating to Hilscher software products and the design of the netX communications ASIC. Hilscher passes this on through training courses. This offer governs the execution of training courses by Hilscher relating to the hardware design of the netX ASIC and Hilscher software.
Hilscher uses employees who are appropriately skilled in technology and teaching for training courses.
Hilscher is not responsible for ensuring successful training. In particular, this is dependent on prior knowledge and the individual efforts of the participants. Hilscher strives to render training services to the best of its ability. Success is not guaranteed. Training services are subject to service contract law as per Art. 611 et seq. of the German Civil Code.
Execution of the workshops
Workshops at Hilscher take place at the location specified on the order form. Hilscher reserves the right to make changes to the training location at short notice as long as this is not unreasonable for participants. If a special agreement is made with the customer, workshops can also take place online/using remote communication media or at the customer's premises. In the latter case, the customer provides suitable facilities free of charge. Travel costs and travel time – along with overnight costs and expenses – are billed separately where applicable.

Obligation to cooperate of customer during trainings
If prior knowledge is required for an open training course or on-site training course, this will be indicated in the training offer. Each participant or customer is responsible for ensuring that he/his employees have the required prior knowledge.
Claims for damages are excluded regardless of the type of breach – including tortious acts – except in the case of willful or grossly negligent action. In the case of the culpable infringement of fundamental contractual obligations (cardinal duties), we do, however, accept liability for any act of negligence, but only to the value of typically foreseeable damages.
Claims arising from lost profit, saved expenditure, claims for damages on the part of third parties, or any other indirect consequential loss cannot be asserted unless a quality feature guaranteed by us has the sole aim of protecting the customer from damages of this kind.
The liability restrictions and exclusions in the sentences above not apply to claims arising from malicious behavior on the part of the seller or to liability for guaranteed quality features, claims based on product liability law, and damages arising from death, injury, or damage to health. The above liability disclaimer also applies to our staff, employees, representatives and subcontractors.
Trade mark rights
Hilscher holds the copyright and the resulting property rights, usage rights, and exploitation rights to all copyrighted materials made available by Hilscher to customers and participants for the duration of training courses. The software and training materials made available by Hilscher are not allowed to be processed, reproduced, or passed on without the written consent of Hilscher.
Cancellation by Hilscher
Hilscher reserves the right to cancel a training course if this cannot be carried out as agreed due to circumstances beyond the control of Hilscher, in particular if one or more contributors should become unavailable without fault. The customer or participants will be informed of this without delay. Any seminar fees already paid will be refunded.
Hilscher is not responsible for the participant's costs resulting from the cancellation of a training course (e.g. the costs of canceled journeys and overnight stays).
(1) The parties agree to keep silent about confidential information. This obligation remains effective for a period of 36 months after the end of the offer.
(2) This obligation excludes confidential information that:
(a) is demonstrably already known to the recipient at the point when the contract is entered into or is made known to the recipient afterwards by a third party without any infringement of a confidentiality agreement, legal stipulations, or official orders;
(b) is public knowledge at the point when the contract is entered into or becomes public knowledge afterwards without this contract being infringed upon;
(c) must be disclosed due to legal obligations or at the order of a court or authority. Wherever permitted and possible, the recipient of information who is obliged to disclose this information shall inform the other party beforehand and give the other party the opportunity to attempt to counteract the disclosure.
(3) The parties shall only allow advisers who are subject to the obligation to maintain professional secrecy or who have undertaken beforehand to observe obligations corresponding to the confidentiality obligations of this contract to access confidential information. Furthermore, the parties shall only disclose the confidential information to employees who need to know this information in order to realize this contract and shall oblige these employees to observe confidentiality, even after they leave the company, to the extent permitted by employment law.
The service agreement becomes legally binding only when confirmed in writing by Hilscher. German law applies exclusively to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Frankfurt am Main.
Should individual stipulations be ineffective, this shall not affect the validity of any other stipulations. Contract changes must be made in writing in order to be legally effective. The requirement that changes be made in writing can only be revoked in writing.
